ApexDrive Terms of use

These Terms (hereinafter referred to as “These Terms”) are established by the ApexDrive Service Operating Entity (hereinafter referred to as “We”) and are designed to clarify the rights and obligations of users (hereinafter referred to as “You”) in using the ApexDrive Disk Service (hereinafter referred to as “This Service”), the Service Rules, and the boundaries of liability for both parties. These Terms apply to all your actions in accessing, registering, and using this Service through any terminal device (computer, mobile phone, tablet, etc.). By registering or using this Service, you are deemed to have fully read, understood, and voluntarily accepted the full terms and conditions of these Terms; if you do not agree with these Terms, please do not use this Service.

1. Service Definition and Scope

1.1 Content of the Service

1.1.1 Core Services

This service provides you with digital services such as cloud file storage, cross-device synchronization, online preview, file sharing, data backup, versioning, and permissions management, with specific features based on the current release of this service.

1.1.2 Service Changes

We have the right to adjust, add, or terminate certain features of the Service based on technological iteration, business development, and compliance requirements. Changes will be notified to you in advance through in-service pop-ups, official emails, or announcements, and your continued use of the Service will be considered as consenting to such changes.

1.2 Scope

1.2.1 Subject Applicability

This provision is binding on all individuals, corporations, and other organizations using the Services. You must ensure that you have obtained a legal authorization and bear the appropriate legal responsibility when using the Services on behalf of a corporation or other organization.

1.2.2 Regional Restrictions

This service is available for regions that comply with international laws and regulations and local regulatory requirements. You commit to use this service in regions where you have legal access to it. If you access it from a service-restricted region, you are at your own compliance risk, and we have the right to suspend or terminate the service for you.

2. Account Registration and Management

2.1 Registration Requirements

2.1.1 Authenticity of Registration Information

When you register for an account with this Service, you must provide a real, accurate, and complete email address and other necessary information for authentication, account recovery, and security. If the information is false, invalid, or incomplete, we have the right to refuse to register, suspend, or cancel your account.

2.1.2 Age Limits

The use of this service by minors under the age of 16 requires the consent of their legal guardian and registration of an account on their behalf. The guardian must perform parental responsibilities, monitor the usage behavior of the minors, and bear the corresponding legal responsibilities.

2.2 Account Management Responsibilities

2.2.1 Account Ownership and Retention

Your account is your personal property, and you must properly store your account password, verification code, and other identity credentials, and do not disclose them to third parties. You will bear full responsibility for any losses caused by your account being mismanaged or misused due to your poor storage.

2.2.2 Account Usage Specifications

You may not rent, lend, transfer, or sell your account, nor may you use your account for any illegal or unlawful activities. If you discover an unusual login or use of your account, you should inform us immediately, and we will assist you in taking security measures such as freezing or logging out.

3. User rights and obligations

3.1 User Rights

3.1.1 Rights to Use the Services

Under compliance with this notice and related rules, you have the right to reasonably use the various features provided by this service, access and manage your own storage files, set file sharing permissions and sync scope.

3.1.2 Right to Feedback and Complaints

You have the right to make suggestions, consultations, or complaints about the functionality, performance, security, etc. of this Service, and we will respond and handle them promptly through the official contact email apexdrive.contact@gmail.com.

3.1.3 Data Control Rights

You have the right to download, export your own storage files, delete content you don‘t need, or request to log out of your account and delete related data at any time (except when required by law and regulations to retain).

3.2 User obligations

3.2.1 Compliance Usage Obligations

You promise to comply with international laws and regulations, your local regulatory requirements, and this Ordinance, and not to use this Service to engage in illegal crimes, infringement of rights, disrupting cyber order, etc.

3.2.2 Content Legal Obligations

The files and content you upload, store, and share must be legally compliant, do not violate any third party‘s legitimate interests such as intellectual property rights, privacy rights, reputation rights, and do not contain prohibited content such as illegal, vulgar, violent, hate speech, and disinformation.

3.2.3 Device and Network Obligations

You must ensure the security of the endpoint devices and network environment that use this Service, install legitimate security software, protect against viruses, trojans, and other malicious programs, and avoid data leakage due to device or network problems that affect the Service usage.

4. Service Usage Rules

4.1 Storage Space Rules

4.1.1 Base Storage

We provide free users with the underlying storage space, with specific capacity as stated on the service page; paid users receive the corresponding capacity according to the subscription plan, and files that expire without renewal and exceed the underlying capacity can still be accessed but new files cannot be uploaded.

4.1.2 Space usage limits

You are not allowed to maliciously occupy storage space, upload useless junk files, duplicate files, and we have the right to alert, restrict uploads, or clean up accounts that are abnormally occupying space, without liability for compensation.

4.2 File Sharing and Transfer Rules

4.2.1 Shared Authority Management

When you share files through this service, you must clearly set the scope of sharing and permissions, take responsibility for the spread and use risks of files resulting from sharing; if sharing content is suspected of violation, we have the right to withdraw the sharing link and delete the content.

4.2.2 Transfer Specifications

You are not allowed to use this Service to transfer malicious programs, illegal data, or files that violate third parties‘ rights. We have the right to conduct compliance checks on the content transferred, and to take measures such as limiting the flow and suspending the Service against non-compliant transfer behavior.

4.3 Third Party Integration Services Rules

4.3.1 Description of Third Party Services

This Service may integrate services such as payments provided by third parties, such services are operated independently by third parties, your use is subject to the third party‘s terms of service and privacy policies, and we take no responsibility for third party services.

5. Intellectual Property Ownership

5.1 Our Intellectual Property Rights

5.1.1 Intellectual Property Rights Related to Services

All Intellectual Property Rights,  such as software programs,  interface designs,  trademarks,  logos,  text content,  technical algorithms,  etc.,  for the Services are owned by us or relevant rights holders and are protected by international Intellectual Property Law.

5.1.2 Licensed Usage Scope

You are granted only a non-exclusive, non-transferable license to use the Services, and you are not permitted to copy, modify, reverse engineer, or deconstruct the software programs and related content of the Services.

5.2 Users‘ Intellectual Property Rights

5.2.1 Intellectual Property Rights for User Content

Intellectual property rights to the documents and content you upload to the Services belong to you or the original rights holder. We use the content only for the purpose of providing the Services and do not claim any property rights.

5.2.2 Authorized Use License

You agree to grant us a global, non-exclusive, free license to store, sync, transfer, and preview your files to provide this service; this license terminates after you sign out of your account (except for content that has been legally shared or backed up).

6. Service Suspension and Termination

6.1 Active Termination of Services

6.1.1 User Active Logout

You can request to sign out of your account through the account settings interface or contact customer service. Prior to signing out, you need to back up important files. After signing out of your account, there is no recovery. We will delete the relevant data in accordance with our privacy policy agreement.

6.2 We terminate/pause our services

6.2.1 Suspension/Termination of Compliance

If you violate this regulation, law, regulation, or regulatory requirement, we have the right to take measures such as warnings, restriction of functionality, suspension of service, and cancellation of accounts, depending on the severity of the situation, and we will not be liable for compensation.

6.2.2 Irresistible and Technical Causes

When service cannot be provided due to irresistible forces or external factors such as natural disasters, war, network disruptions, technical failures, regulatory policy adjustments, etc., we may suspend service and notify you promptly, and the time of service resumption will be notified separately.

6.2.3 Notification of Service Termination

If we decide to terminate all services, we will notify you 30 days in advance through official channels, provide you with file export time, and expired un-exported files will be deleted as prescribed.

7. Disclaimer

7.1 Quality of Service Disclaimer

7.1.1 Disclaimer for Reasonable Deviations

We do our best to ensure the stable operation of the service, but do not guarantee service without interruption or errors, and do not assume liability for compensation for losses caused by temporary service failures, network latencies, or equipment compatibility issues.

7.1.2 Disclaimer for Third-Party Factors

We do not take responsibility for service anomalies or data loss caused by external factors such as third-party service failures, network operator problems, hacking attacks, etc., but we will do our best to assist in troubleshooting and remediation.

7.2 Disclaimer for User Behavior

7.2.1 Consequences of Non-Compliance Behavior

You are solely responsible for legal liability, third-party claims, and personal losses resulting from your unlawful use of the Service, uploading illegal content, or divulging account information. We have the right to compensate you.

8. Non-Compliance Liability

8.1 User Liability for Non-Compliance

8.1.1 Measures for handling violation

If you violate the provisions of this provision, we have the right to take precautions such as warning, limiting functionality, suspending services, logging out accounts, and deleting infringing content, while retaining the right to pursue legal liability against you.

8.1.2 Damage Compensation

You will be liable for all damages caused to us or third parties by your breach of contract, including but not limited to direct damages, indirect damages, legal fees, litigation fees, and other maintenance costs.

8.2 Our Liability for Non-Compliance

8.2.1 Conditions of Violation and Compensation

Those who cause your data to be lost, leaked, and irrecoverable due to our intentional or serious negligence will be liable to compensation based on your actual loss, but the amount of compensation will not exceed the total service fees you have paid for the last 12 months (free users do not exceed the reasonable compensation scope).

9. Data Security and Privacy Protection

9.1 Data Security Assurance

9.1.1 Security Precautions

We use world-leading technologies such as encrypted storage, transmission encryption, access control, security auditing, and more to establish an end-to-end data security defense system to keep your data secure.

9.1.2 Security Incident Handling

In the event of a security incident such as a data breach or loss, we will immediately take corrective measures to reduce the damage and promptly notify you and relevant regulators as required by law and regulations.

9.2 Privacy Agreement

9.2.1 Privacy Policy Link

Our processing of your personal information and data follows the terms of the ApexDrive Privacy Policy, and your use of this service is considered to agree to that Privacy Policy.

10. Regulatory Updates and Notifications

10.1 Regulation Update

10.1.1 Update Triggering Conditions

Due to changes in laws and regulations, adjustment of international regulatory requirements, and iteration of service functions, we may amend this Ordinance, and the amended Ordinance will be more favorable to protecting users‘ rights and interests.

10.1.2 Notification Methods for Updates

After the terms are updated, you will be notified through in-service pop-ups, official emails, announcements, etc. The updated terms will take effect upon delivery of the notification, and your continued use of the Service will be considered as consent.

11. Dispute Resolution and Legal Applicability

11.1 Dispute resolution

11.1.1 Negotiation Priority

Disputes arising from this Ordinance should first be resolved through friendly negotiations between the parties. Negotiations can be communicated through the official contact email apexdrive.contact@gmail.com.

Arbitration Resolution

If negotiations fail, any party has the right to apply for arbitration from an internationally recognized arbitration agency recognized by both parties. The arbitration is determined by negotiations between the two parties, and the arbitration verdict is the final ruling, which has binding force on both parties.

11.2 Applicability of Law

11.2.1 Applicable Law

The establishment, enforcement, implementation, interpretation, and dispute resolution of this Ordinance are governed by the International General Business Rules and the laws and regulations of arbitration areas. If there is a conflict, the provisions that are more conducive to protecting the legitimate interests of users will have priority.

This provision constitutes the complete agreement between you and us regarding the use of this Service, replacing any previous oral or written agreement. This provision does not suffice, and applicable laws and regulations, as well as the disclosure rules on the service pages, apply.

12.2.2 Partial Clauses Are Invalid

If a provision of this Ordinance is deemed invalid or unenforceable by an authorized authority, without affecting the effectiveness of the other provisions, the other provisions should continue to be enforced.

12.2.3 Effective Date

This Ordinance is effective from the date of application.
